This Supply of Service Agreement ("Agreement") is made between Rapid Bird Consulting Limited ("Supplier") and the Client ("Client") who agrees to engage the Supplier for the provision of services as described herein. This Agreement outlines the general terms under which the Supplier will provide its services to the Client.
The Supplier agrees to deliver the services specified in the Service Level Agreement ("SLA") or Statement of Work ("SOW") mutually agreed upon by both parties. These services may include, but are not limited to, consultancy, vendor management, risk management, ecommerce consultancy and other professional services as deemed necessary for the Client's operational needs.

Both parties agree to protect the confidentiality of any proprietary or sensitive information exchanged during the term of this Agreement. The obligations of confidentiality shall survive the termination of this Agreement.
Any intellectual property developed or produced during the course of providing services under this Agreement shall be owned by the party who creates it unless otherwise specified in the SLA or SOW.
The Supplier's liability for any claims arising out of this Agreement shall be limited to the extent permitted by law. In no event shall the Supplier be liable for any indirect, incidental, or consequential damages.
This Agreement may be terminated by either party by providing written notice to the other party, subject to the terms specified in the SLA or SOW.
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong.
By engaging the Supplier's services, the Client acknowledges that they have read, understood, and agreed to be bound by the terms of this Supply of Service Agreement.
